End User License Agreement

This End User License Agreement ("EULA") is a binding legal agreement between you ("you" or "Licensee") and Perfect Passport LLC, a Delaware limited liability company ("Perfect Passport," "Licensor," "we," "us," or "our"), governing your use of the Perfect Passport mobile application software, including any updates, upgrades, additions, and accompanying documentation (collectively, the "Licensed Application").

By downloading, installing, or using the Licensed Application, you agree to be bound by this EULA. If you do not agree to this EULA, do not download, install, or use the Licensed Application.

This EULA governs your license to use the Licensed Application itself. Your use of the services made available through the Licensed Application is also subject to our Terms of Service and Privacy Policy, each of which is incorporated by reference.

1. Acknowledgment

You and Perfect Passport acknowledge that this EULA is concluded between you and Perfect Passport only, and not with Apple Inc. ("Apple") or Google LLC ("Google"). Perfect Passport, not Apple or Google, is solely responsible for the Licensed Application and its content. This EULA may not provide for usage rules for the Licensed Application that are in conflict with the App Store Terms of Service or the Google Play Terms of Service (as applicable) as of the date you entered into this EULA. Perfect Passport acknowledges that it had the opportunity to review such terms and that this EULA is not in conflict with them.

2. Scope of License

Subject to your compliance with this EULA, Perfect Passport grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Licensed Application for your personal, non-commercial use, as follows:

For iOS: on any Apple-branded device that you own or control and as permitted by the App Store Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Licensed Application may also be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
For Android: on any Android-powered device that you own or control and as permitted by the Google Play Terms of Service.

The Licensed Application is licensed, not sold, to you. All rights not expressly granted to you are reserved by Perfect Passport.

3. Restrictions

You may not, and may not permit any third party to:

copy the Licensed Application, except as expressly permitted by this license;
modify, translate, adapt, or create derivative works of the Licensed Application;
reverse engineer, decompile, disassemble, or attempt to derive the source code of the Licensed Application, except to the extent expressly permitted by applicable law notwithstanding this limitation;
rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the Licensed Application to any third party;
remove or alter any proprietary notices or labels on the Licensed Application;
use the Licensed Application in any manner that violates applicable law or the rights of any third party; or
use the Licensed Application to develop or train any machine learning model, or for any benchmarking, competitive analysis, or similar purpose.

You agree that Perfect Passport may collect and use technical data and related information — including, but not limited to, information about your device, system, and application software — to facilitate the provision of software updates, product support, and other services related to the Licensed Application. Perfect Passport may use this information, as long as it is in a form that does not personally identify you, to improve its products. Perfect Passport's collection and use of personal information is described in our Privacy Policy.

5. Services and Third-Party Materials

The Licensed Application may enable access to Perfect Passport's services and third-party services and websites (collectively and individually, "Services"). Use of the Services may require Internet access and may require you to accept additional terms.

You acknowledge that the Services contain proprietary content, information, and material owned by Perfect Passport or its licensors, and that you will not use such proprietary content except for permitted use of the Services. No portion of the Services may be reproduced in any form or by any means, except as expressly permitted. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Services, in any manner, and you shall not exploit the Services in any unauthorized way.

You agree that the Services contain security technology that limits your use, and that you will use the Services in compliance with all applicable laws, including local laws of the country or region in which you reside or in which you download or use the Services.

6. Termination

This EULA is effective until terminated by you or Perfect Passport. Your rights under this EULA will terminate automatically and without notice from Perfect Passport if you fail to comply with any term of this EULA. Upon termination, you must cease all use of the Licensed Application and destroy all copies, full or partial, of the Licensed Application in your possession.

7. NO WARRANTY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE LICENSED APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. PERFECT PASSPORT HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS WITH RESPECT TO THE LICENSED APPLICATION, EITHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY, OF SATISFACTORY QUALITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF ACCURACY, OF QUIET ENJOYMENT, AND OF NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY PERFECT PASSPORT OR ITS AUTHORIZED REPRESENTATIVE SHALL CREATE A WARRANTY. SHOULD THE LICENSED APPLICATION PROVE DEFECTIVE, YOU ASSUME THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR, OR CORRECTION.

In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application to you (if any); and, to the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application. As between Perfect Passport and Apple, any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be the sole responsibility of Perfect Passport.

Some jurisdictions do not allow the exclusion of implied warranties or limitations on applicable statutory rights of a consumer, so the above exclusions and limitations may not apply to you.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PERFECT PASSPORT BE LIABLE FOR PERSONAL INJURY OR ANY INCIDENTAL, SPECIAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OR INABILITY TO USE THE LICENSED APPLICATION, HOWEVER CAUSED, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, OR OTHERWISE) AND EVEN IF PERFECT PASSPORT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall Perfect Passport's total liability to you for all damages (other than as may be required by applicable law in cases involving personal injury) exceed the greater of (a) the amount you actually paid for the Licensed Application or (b) fifty U.S. dollars ($50). Some jurisdictions do not allow the limitation of liability for personal injury, or of incidental or consequential damages, so this limitation may not apply to you.

9. Maintenance and Support

Perfect Passport is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in this EULA or as required under applicable law. Apple and Google have no obligation whatsoever to furnish any maintenance or support services with respect to the Licensed Application. 10. Product Claims

Perfect Passport, not Apple or Google, is responsible for addressing any claims by you or any third party relating to the Licensed Application or your possession and/or use of the Licensed Application, including but not limited to:

product liability claims;
any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and
claims arising under consumer protection, privacy, or similar legislation, including in connection with the Licensed Application's use of the HealthKit and HomeKit frameworks (if applicable).

This EULA does not limit Perfect Passport's liability beyond what is permitted by applicable law.

11. Intellectual Property Rights

You and Perfect Passport acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of the Licensed Application infringes that third party's intellectual property rights, Perfect Passport, not Apple or Google, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

12. Legal Compliance

You represent and warrant that:

you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and
you are not listed on any U.S. Government list of prohibited or restricted parties, including the U.S. Treasury Department's list of Specially Designated Nationals or the U.S. Department of Commerce's Denied Person's List or Entity List.

You also agree that you will not use the Licensed Application for any purposes prohibited by United States law, including, without limitation, the development, design, manufacture, or production of nuclear, missile, or chemical or biological weapons.

14. Third-Party Terms of Agreement

You must comply with any applicable third-party terms of agreement when using the Licensed Application — for example, your wireless data service agreement.

15. Third-Party Beneficiary

You and Perfect Passport acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of this EULA, and that, upon your acceptance of the terms and conditions of this EULA, Apple will have the right (and will be deemed to have accepted the right) to enforce this EULA against you as a third-party beneficiary thereof. The same rights are extended to Google and its affiliates with respect to the version of the Licensed Application obtained through Google Play.

16. Google Play Specific Terms

If you obtained the Licensed Application from Google Play, the following additional terms apply:

You acknowledge that Google is not responsible for the Licensed Application or any content within it.
Your use of the Licensed Application must comply with the then-current Google Play Terms of Service.
Google has no obligation or liability to you with respect to the Licensed Application or this EULA, except as expressly stated in the Google Play Terms of Service.
To the extent of any inconsistency between this EULA and the Google Play Terms of Service with respect to your use of the Licensed Application obtained through Google Play, the Google Play Terms of Service will govern, but only to the extent necessary to resolve the inconsistency.

17. Updates

Perfect Passport may from time to time provide updates, upgrades, patches, enhancements, or other modifications to the Licensed Application ("Updates"). Updates may be downloaded and installed automatically or may require your action to install, depending on your device settings and the App Store or Google Play platform. All Updates are deemed part of the Licensed Application and are subject to this EULA.

18. Open Source Components

The Licensed Application may contain or be distributed with open source software components. Each such component is licensed under the terms of its applicable open source license, which terms will, with respect to such component, take precedence over this EULA to the extent of any conflict. Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms of any applicable open source license.

19. Governing Law

This EULA is governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict-of-laws principles, except that the foregoing shall not (a) prevent the application of any mandatory consumer-protection laws of your jurisdiction or (b) limit any rights you may have under such laws. The United Nations Convention on Contracts for the International Sale of Goods does not apply to this EULA.

Any dispute arising out of or relating to this EULA is subject to the dispute resolution provisions (including binding arbitration and class action waiver) set forth in our Terms of Service, which are incorporated into this EULA by reference.

20. General

Entire Agreement. This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Perfect Passport regarding the Licensed Application and supersedes all prior agreements regarding its subject matter.

Severability. If any provision of this EULA is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver. No failure or delay by Perfect Passport in exercising any right under this EULA shall constitute a waiver of that right.

Assignment. You may not assign this EULA without Perfect Passport's prior written consent. Perfect Passport may assign this EULA freely.

Modifications. Perfect Passport may modify this EULA from time to time. Material changes will be communicated as described in the Terms of Service. Your continued use of the Licensed Application after the effective date of revised terms constitutes your acceptance.
